At ZattWorld Solutions, we simplify the company registration process in Malaysia for 2018 through our comprehensive legal business and company setup consultancy services. We specialize in the registration of SDN BHD (private limited) companies, which are among the most common business entities in Malaysia, fully compliant with the Companies Act 2016.

Why Malaysia?
Malaysia has consistently been ranked as one of the top countries globally for ease of doing business and investment opportunities, as per the CEOWorld Report in 2019 and 2020. Its strategic location, stable economy, affordable cost of living, and growing business prospects have made it a favored destination for both local and foreign investors.
We are committed to making the legal and regulatory aspects of setting up a business in Malaysia seamless for our clients, including foreign investors who wish to leverage Malaysia’s Foreign Direct Investment (FDI) opportunities.
According to a Standard Chartered Group study, Malaysia is ranked as the “second most favorable country” for foreign investment in Asia by European and U.S. companies.
Legal Requirements for Company Incorporation in Malaysia
To legally incorporate a company in Malaysia, the following must be met under the Companies Act 2016:
Company Secretary: The company must be registered by a licensed company secretary. ZattWorld Solutions offers premium company incorporation consultancy services with licensed professionals.
Annual Return Submission: Every company is required to submit an annual return within 12 months. Failure to do so is a punishable offense.
Accounting and Finance Management: Companies are required to maintain proper financial records, including cash flow management, audits, and tax filings. ZattWorld Solutions provides financial management services, with MIA-licensed accountants and CA firms on board
Full Foreign Ownership
Foreign investors are allowed to own 100% of a company in Malaysia. However, we recommend appointing a nominee director for better business operations, such as easier bank account opening and licensing procedures. While a nominee director is not a legal requirement like in Singapore, it can be advantageous in some cases. Malaysia also allows businesses to be opened under a tourist visa, provided all legal procedures are followed.
Offshore and Onshore Company Registration
ZattWorld Solutions offers expert consultancy for both onshore and offshore company registration in Malaysia.
Requirements to Register a Company in Malaysia (Companies Act 2016)
1.Director Information: A passport or IC copy of the company directors.
2.Subscriber: At least one subscriber to the company’s shares.
3.Director Residency: At least one director must reside in Malaysia, be over 18 years old, and not be bankrupt or convicted of a criminal offense in the last 5 years.
4.Company Secretary: A licensed company secretary must be appointed.
5.Registered Office: A registered office in Malaysia is mandatory. ZattWorld Solutions offers this service free of charge.
Who Can Be a Director or Shareholder?
1)Shareholders must be at least 18 years old and mentally fit.
2)Dependent pass holders can be shareholders but not directors.
3)MM2H holders can also be shareholders but not directors.
4)Local citizens who meet legal and financial requirements can serve as both directors and shareholders.
5)Foreigners on tourist visas can register a company but may need to appoint a nominee director or obtain a business visa for easier management.
Registration and Banking
For legal purposes, any foreign investor wishing to do business in Malaysia must be physically present to register the company, ensuring compliance with anti-money laundering (AML) laws. ZattWorld Solutions assists in opening bank accounts under Bank Negara regulations. We recommend appointing a nominee director or pursuing a joint venture to simplify business banking, as this is critical for licenses and business transactions
Share Capital Requirements
1.Locals can register enterprise or SDN BHD companies with share capital starting from RM 500,000.
2.Foreigners are advised to open SDN BHD companies with a minimum capital of RM 1 million for smoother licensing and business operations.
Benefits of Having a Local Shareholder
1.Local shareholders can manage business operations in the absence of foreign investors
2.Easier bank account opening for companies with foreign shareholders.
3.Simpler procedures for obtaining licenses like WRT and ESD when a local person is involved.
Foreign directors can obtain a business permit under the ESD (Expatriate Services Division) and immigration policies. However, we emphasize the importance of following the full legal process and advise clients to avoid shortcuts or unlicensed agents.
ZattWorld Solutions is here to make your business journey in Malaysia seamless, legal, and successful.
